We will agree with you which discount tier may apply to your Sky Ultimate package based on the applicable volume and brand purchasing obligations you agree to meet as detailed below and certain other offer eligibility criteria notified to or discussed with you in advance, including rateable value thresholds. Your on-going adherence to the requirements of the relevant discount tiers will be monitored based on 3 months’ volume data (and establishing the average throughput based on that data) by Molson Coors (UK) and Diageo (as applicable). If your supplier of the relevant products is a wholesaler, Pub Co or other authorised route to market (and not Molson Coors (UK)) then by taking advantage of this offer, you explicitly agree that your supplier may pass on information relating only  to the applicable brands and volumes you are stocking as well as the necessary information to enable us to identify your outlet and validate which discount tier you comply with. On a quarterly basis, your discount tier will move up or down depending on the number of Molson Coors (UK) and Diageo brands and volumes you are selling. You must meet the minimum throughput for the Molson Coors (UK) 30% discount tier to qualify for your additional Diageo discount; otherwise it will be removed, and your discount tier will be recalculated based on your Molson Coors (UK) throughput only. If you do not meet the minimum throughput for the bottom discount tier, Molson Coors (UK) reserves the right, on written notice to you, to remove your discount, terminate this agreement and require the repayment of all discounts which have been applied up to the point of termination and you will be charged the full amount for your Sky Ultimate package from the date of termination.

*To qualify for the full Diageo discount your outlet(s) must have a rateable value below certain thresholds, which Sky will discuss with you prior to signing up to the relevant promotion. Sky reserves the right to offer you a lower discount if any outlet has a rateable value which exceeds the relevant threshold.

If you already have an agreement to receive a discount under the Molson Coors (UK) and Sky promotion, then your minimum term will be extended by 12 months if and from when you sign up to the promotion for the additional Diageo discount. If you are a new Molson Coors (UK), Diageo or Sky customer, your agreement will run for a minimum 12 month period from the date you sign up to this promotion. See relevant section below for further details. If you are a new to Sky TV customer (being a prospective customer who has not subscribed to Sky TV in the 3 months before taking this promotion) you must sign up to Sky Ultimate (whether introduced through your Molson Coors (UK) or Sky Sales Representative). In addition, you must comply at all times with all agreements you have with Molson Coors (UK), Diageo and Sky (as applicable), including (without limitation) the credit terms and trading agreements with Molson Coors (UK) for 12 months from the date you sign up to this promotion. 

Please note that we may agree some specific exceptions, and subject to approval may allow regional casks as part of this promotion. If these are agreed, they will be captured in your trading agreement with Molson Coors (UK). Please discuss this with your Molson Coors (UK) Sales Representative.

If you do not comply with any of the Conditions set out here, in Your Deal with Molson Coors (UK), or in any other agreement you have with Molson Coors (UK), Diageo or Sky, we reserve the right at any point to terminate this agreement and recover all discounts applied over the term of this agreement. Please be aware that there may be other consequences of failing to comply with other agreements and suggest you review them.

If the Molson Coors (UK) agreement with Sky terminates your Molson Coors (UK) Sales Representative will contact you to discuss your options; however, Molson Coors (UK) will always have the right to terminate this agreement without liability to you if that happens.

If your agreement with Sky terminates through any action or omission on your part, the bottom tier stocking Conditions will apply for the remainder of the agreed term. In the event that you don’t comply with the Conditions of the bottom discount tier, Molson Coors (UK) reserves the right to require repayment of all discounts previously applied as set out above and you will be charged the full amount for your Sky Ultimate package.

Sky TV Offer: Only available to selected licensed premises in the UK who meet the criteria of the Molson Coors (UK) and Diageo deals shown below (excludes group customers, Channel Islands and Isle of Man). You must remain a tenant of the participating Pub Co or Regional Brewer, if applicable. New customers must subscribe to Sky Ultimate for a minimum of 12 months and pay via Direct Debit to receive your offer. You must comply with the Molson Coors (UK) and, if applicable, Diageo terms. Discount applied to Sky Ultimate monthly subscription for 12 months and (unless otherwise specified) thereafter provided that you continue to meet the criteria for at least the bottom discount tier and that the Sky/Molson Coors (UK)/ Diageo/ Pub Co (if applicable) partnership continues.

If Sky’s partnership with Molson Coors (UK) or Diageo ends we may give you written notice of your discount ending. If we do this, you will have the option to cancel your Sky Ultimate package. Discount tiers vary and will move up or down depending on the brands and volumes you are selling. This will be reviewed on a 3 month basis.  Discount excludes set-up costs, standalone or add-on channels and pay-per-view. HD-Ready TV and Sky-HD/Sky+ HD box required for HD viewing. Data Protection

If you are a new or existing Sky Ultimate customer, Molson Coors (UK) will provide relevant information to Sky to administer this promotion, including facilitating the relevant discount off your Sky Ultimate package. To do this, Molson Coors (UK) will liaise directly with Sky which may involve the transfer of your personal data to allow them to contact you with details of their services, and which you confirm you are happy for us to do.  You will not receive marketing communications unless you specifically opt in. We will be using all information from your ordering and invoicing to make sure you are trading with us as agreed, as we can only offer you the discount tier which meets the associated stocking and throughput criteria of that discount tier. By signing up for this deal you authorise the relevant Pub Co, if applicable, to share product volume and the number of brands stocked with Molson Coors (UK), Diageo and Sky to validate compliance. Your discount will be provided as set out in the deal you currently qualify for on a month-to-month basis provided you comply with the volume and brand Conditions attached to that deal.

B. Leased & tenanted

Molson Coors (UK) Offer: Terms and conditions apply, including a 12 month minimum term for new customers. Offer to save a further 10%, 15% and 20% discount off your monthly Sky Ultimate subscription by stocking Diageo brands. To qualify for the full Diageo discount your outlet(s) must have a rateable value below certain thresholds, which Sky team will discuss with you prior to signing up to the relevant promotion. Sky team reserves the right to offer you a lower discount if any outlet has a rateable value which exceeds the relevant threshold.

Only brand and volume sales from your nominated drinks supplier will be measured and count towards promotional discount in both Molson Coors (UK) and Diageo offers.

Sky TV Offer: Offer only available to selected UK licenced premises (excludes Group customers, Northern Ireland, Scotland, Channel Islands and Isle of Man). You must remain a tenant of the participating Pub Co. You must subscribe to Sky Ultimate for a minimum of 12 months and comply with the Molson Coors (UK) and, if applicable, Diageo terms, including applicable volume and brand commitments as detailed in the table in section (A) to receive a 15%, 20%, 25%, 30%, 40%, 45% or 50% discount off your monthly Sky Ultimate bill.

Terms and Conditions – Competition to win a trip to Dublin and a visit to the Guinness brewery (the “Competition”)

    Eligibility

      1. This Competion is open to all residents of mainland England and Wales aged 18 or over (proof of age may be required) who meet the entry requirements. Employees (or family members of employees, contractors or staff of associated companies) of Diageo Great Britain Limited (the “Promoter”, details of which are set out below), Verve Marketing Limited (trading as “Verve The Live Agency”) Guinness, Sky UK Limited (“Sky”) and Molson Coors Brewing Company (UK) Limited, promotional partners or anyone professionally involved with this Competition may not enter this Competion. 

    Promotional Period

      2. The Competition opens on 7th October 2019 at 0:01 GMT and closes on 30th November 2019 at 23:59 GMT (the “Competition Period”). The winner will be contacted on 6th December 2019 at any time after 09:00 GMT.

    Entry Requirements

      3. To enter the Competition entrants must be eligible for and have signed up to the new Diageo, Sky and Molson Coors Sky Subscription discount deal during the Competition Period.

      4. Late, incomplete or otherwise ineligible entries will be disqualified. The Promoter reserves the right not to award prizes if the qualifying criteria is not met and the right to select replacement entry into the Competition.

    Winner Selection and Notification

      5. The winner will be selected at random on or around 4th December 2019 from all elible entires received during the Competition Period. 

      6. The winner will be contacted by Verve The Live Agency by phone or text message (or the contact information included as part of the Competition Entry) by 9th December 2019. If the winner cannot be contacted within a reasonable time period or are not able or available to accept the prize for any reason beyond the Promoter’s reasonable control, then the Promoter reserves the right to award the prize to another entrant.

    Prize

      7. The Prize constitutes the below items for two persons: 

        a. Return flights from their chosen airport, in England or Wales, to Dublin between 1st January 2020 and 30th January 2020

        b. One night accommodation in 4* hotel in Dublin

        c. One evening meal up to a monetary value of £200 and one lunch in Dublin up to a monetary value of £100

      8. A representative from Verve The Live Agency will arrange all travel and accommodation.
      The winner is responsible for their own passport and visa arrangements.

      9. The Prize is offered as stated and is non-transferable. No cash alternative, or alternative prize to the stated Prize shall be offered or made available; however the Promoter reserves the right to replace the Prize with an alternative prize of equal or greater value.

    Data Protection

      10. The Promoter will collect and process personal information from entrants which, by entering this Competition, you consent to. The Promoter will only use the personal details supplied for the administration of the Competition and for no other purpose, unless we have your consent for such further purpose. If you are the winner, personal data supplied during the course of this Competition may be passed on to third party suppliers only insofar as required for fulfilment/delivery/arrangement of the Prize. Your personal details will at all times be kept confidential and in accordance with the EU General Data Protection Regulation (Regulation (EU) 2016/679.       11. By entering into this Competition, if you are the winner,  you agree that the Promoter may make your full name, country and likeness available for post-event publicity purposes without additional remuneration.

    General

      12. The winner may be required to take part in post-event publicity and should the winner fail or refuse to do so the winner will be deemed to have forfeited their opportunity to win the Prize and be disqualified from the Competition. 

      13. The Promoter’s decision is final and binding in all respects on all entrants.  No correspondence will be entered into. Entries that do not comply in full with these entry terms and conditions will be disqualified.

      14. The Promoter reserves the right to withdraw or amend this Competition, Prize and or these Terms and Conditions in the event of any unforeseen circumstances without notice.

      15. The Promoter reserves the right to terminate or temporarily suspend this offer in the event of technical or other difficulties that might compromise its integrity. 

      16. Neither the Promoter nor any of its associated or affiliated companies or the promotional partners shall accept any responsibility for difficulties, cost or expense experienced in submitting an entry to the Competition.

      17. Except in the case of death or personal injury arising from its negligence or in respect of fraud and so far as is permitted by law, the Promoter and its associated companies and agents, including those of its promotional partners, exclude responsibility and all liabilities arising from the enjoyment of the Prize; and/or any postponement, cancellation, delay or changes to the Prize beyond the Promoter’s control; and for any act or default of any third party supplier.      

      18. The terms and conditions of any other third party supplier will also apply to the Prize where applicable. If there is a conflict between third party terms and conditions and these terms and conditions, these shall take precedence.

      19. The Promoter will not be liable for any prize(s) that do not reach the winners for reasons beyond the Promoter’s reasonable control.

      20. Dates are subject to change.

      21. Entrants will be deemed to have accepted these terms and conditions and agreed to be bound by them when entering this Competion.

      22. These terms and conditions shall be governed by and construed in accordance with the laws of the England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
